TERMS & CONDITIONS FOR SUBMITTING QUESTIONS TO ASK THE NUTRITIONIST

By submitting questions or any other information, including your name, likeness or other identifying information (collectively “User Generated Content”) to Ask the Nutritionist, and in consideration for the opportunity to be featured on Metabolife.com or in other marketing and promotional materials of the Metabolife® brand or its manufacturer, including its parent, subsidiary, affiliated and related companies (collectively “Metabolife”), and for other good and valuable consideration, the receipt of which is hereby acknowledged, you hereby consent to the use by Metabolife of any User Generated Content you submit to Ask the Nutritionist, singularly or in conjunction with other content for advertising, publicity, commercial or other business purposes, without further compensation.

By submitting User Generated Content to Metabolife.com’s Ask the Nutritionist, you expressly understand and agree that while Metabolife is under no obligation to make use of any such User Generated Content, all rights therein, and all results and proceeds derived there from, shall be the absolute property of Metabolife, and Metabolife shall have the unlimited worldwide right to copyright, publish, exhibit and otherwise exploit such works, in whole or in part, in any manner Metabolife desires. Without limiting the generality of the foregoing, Metabolife shall have the right to edit, modify, and/or delete material from such works, change the sequence of events in the production of such works or of any questions posed and/or answers given therein and make any other changes in the works that Metabolife deems appropriate. Further, you warrant and represent that your are at least 18 years of age and have the right and power to enter into this release and grant the rights set forth herein and that no consent or authorization from any third party is required in connection therewith.

You acknowledge and agree that you shall have no right of approval, no claim to compensation and no claim (including, without limitation, claims based upon invasion of privacy, defamation or right of publicity) arising out of any use, alteration, blurring, illusionary effect in any composite form of any User Generated Content you submit. You hereby release Metabolife, and any of its associated or affiliated companies, their directors, officers, agents, employees and customers, and appointed advertising agencies, their directors, officers, agents and employees from all claims of every kind on account of such use. This agreement, its validity, construction and effect shall be governed by the laws of the State of New York. The parties hereto agree to submit to jurisdiction in the State of New York.
